Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) govern the sale of all software products, IT services, and solutions offered by Dutt IT Solutions Pvt. Ltd., headquartered in Rajasthan, India (“Company,” “we,” “our,” or “us”), to the buyer (“Customer,” “you,” or “your”). By placing an order with us, you agree to these Terms.

1. Definitions

  • "Product": Refers to any software or IT solution provided by the Company.
  • "Service": Includes IT support, custom software development, consultation, and other solutions provided by the Company.
  • "Order": Refers to any purchase of Products or Services made by the Customer.

2. Scope of Agreement

These Terms apply to all sales made by Dutt IT Solutions Pvt. Ltd., whether online, in person, or through other channels. Any additional terms provided by the Customer must be explicitly agreed upon in writing by both parties.

3. Orders and Acceptance

  1. Order Confirmation: All orders are subject to acceptance by the Company. An order is deemed accepted when the Company issues an invoice or written confirmation.
  2. Cancellation: Orders cannot be canceled once confirmed unless mutually agreed upon in writing. Cancellation charges may apply.
  3. Modifications: Changes to the order after confirmation must be agreed upon in writing and may result in additional charges.

4. Pricing and Payment Terms

  1. Pricing: All prices are quoted in Indian Rupees (INR) unless stated otherwise. Taxes, including GST, will be applied as per prevailing rates.
  2. Payment Terms:
    • Advance Payment: 50% of the total amount must be paid as an advance upon order confirmation.
    • Milestone Payments: For projects, payments are to be made as per agreed milestones in the contract.
    • Balance Payment: The remaining balance must be cleared before delivery or deployment of the Product or Service.
  3. Methods of Payment: Payment can be made via bank transfer, online payment gateway, cheque, or other methods agreed upon during order confirmation.
  4. Late Payments:
    • Late payments beyond the due date will incur an interest charge of [X%] per month.
    • The Company reserves the right to suspend or terminate services for overdue invoices.

5. Delivery and Installation

  1. Delivery Timeline: The Company will make reasonable efforts to deliver Products or complete Services within the agreed timeline. Delays caused by external factors beyond our control are excluded.
  2. Installation: For software products, the Company will assist with installation and initial setup as per the terms of the agreement.
  3. Acceptance: Delivery is considered complete when the Customer accepts the Product or Service, either explicitly or implicitly by using the delivered item.

6. Warranty and Support

  1. Warranty: The Company provides a limited warranty for Products and Services as specified in the purchase agreement. This excludes issues caused by misuse, unauthorized modifications, or third-party interference.
  2. Support: Post-sale support will be provided as per the service level agreement (SLA) or warranty terms.

7. Intellectual Property

  1. Ownership: The Company retains all intellectual property rights for proprietary software and solutions, unless explicitly transferred in the agreement.
  2. License: Customers are granted a limited, non-transferable license to use the software as per the terms specified in the agreement.

8. Limitation of Liability

  1. The Company’s liability is limited to the value of the Product or Service purchased.
  2. The Company is not responsible for:
    • Indirect or consequential damages.
    • Data loss or corruption caused by Customer negligence or external factors.
    • Failures due to third-party hardware or software.

9. Termination

The Company reserves the right to terminate any agreement or suspend services if the Customer:

  1. Fails to make payments as agreed.
  2. Violates these Terms.
  3. Engages in unlawful activities involving the use of the Product or Service.

10. Governing Law

These Terms shall be governed by the laws of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Rajasthan, India.

11. Changes to Terms

The Company reserves the right to modify these Terms at any time. Any changes will be communicated via our website or email. It is the Customer’s responsibility to review the updated Terms.
